Golden Handcuffs: How to compensate and retain key employees

Increasingly the value of companies is driven not my machinery and equipment, but by an assembled workforce of knowledge workers and management. Once upon a time it was easy to ensure value conveyed in a transaction: make sure the trucks, machines, and widgets were present at closing! But in today’s world where value is vested in the workforce- and non-competes are increasingly difficult to enforce – how can we ensure value conveys in a transaction?

Enter the Golden Handcuffs.

Our expert panel will discuss a range of ways to entice key employees to hang around post-closing, increasing both buyer confidence and overall purchase price.

Speakers

Nichole Atallah counsels clients in a broad range of employment matters, including compliance with Title VII, ADA, ADEA, FLSA/wage & hour, FMLA, wrongful termination and reduction in force. Ms. Atallah advises clients in general business matters including interpreting and drafting employee compensation and benefit arrangements, confidentiality, non-compete and non-solicitation agreements and separation agreements. When necessary, she zealously defends clients faced with a wide range of lawsuits and claims, from wrongful termination to contract disputes. Her goal in representing employers is to help retain management rights and avoid costly disputes.

Jonathan Bush counsels clients across varied industries on a broad range of corporate law matters including mergers and acquisitions, joint ventures and other strategic transactions, as well as corporate finance and securities laws. He advises clients in all phases of their business life cycle from start-up to sale of the company. Prior to joining PilieroMazza, Mr. Bush was a senior associate in the corporate and securities practice group for Dechert LLP in addition to working for two international law firms earlier in his career.
